By accessing or using the App or website, you ("you", "your", or "the Customer") agree to be bound by these Terms and Conditions. If you do not agree, you must not use the App.

1. Definitions

"App" - the NetworkDental software application, platform, and related services provided via the website or other interfaces.
"Company" / "we" / "us" / "our" - KodedNest Ltd, the legal entity operating the App.
"Customer" / "you" / "your" - the company, partnership, or individual registering or using the App.
"Services" - the features, functionality, and tools available through the App.
"Account" - a unique account registered to a Customer for accessing and using the Services.
"Data" - all information, content, and materials uploaded, submitted, or processed by the Customer via the App.

2. Eligibility

2.1 The App is provided for both business (B2B, e.g., dental practices) and individual users (B2C, e.g., nurses). By registering, you confirm that you are either:

• acting on behalf of a company or other business entity, or
• an individual registering for personal/professional use.

2.2 All individuals accessing the App must provide accurate information and, if applicable, have authority to act on behalf of their organisation.

2.3 Users may be required to upload documents (e.g., professional credentials, identity verification) for verification purposes. All documents are reviewed manually by KodedNest Ltd or authorised representatives.

2.4 Disclaimer for Uploaded Documents: We do not guarantee the authenticity, accuracy, or validity of any uploaded documents. You acknowledge that KodedNest Ltd is not responsible or liable for the contents, validity, or consequences of any documents uploaded by users. Users are solely responsible for ensuring that any documents they submit are true, accurate, and lawful.

2.5 We reserve the right to suspend or terminate any Account where the Services are being used in breach of these eligibility requirements.

3. Fees and Payment

3.1 Individual Users (B2C): Registration is free. Optional in-app purchases may be offered, with pricing displayed at the point of purchase.

3.2 Business Users (B2B): Dental practices are charged per vacancy posted. Fees include the vacancy cost plus any applicable third-party processing fees (e.g., Stripe).

3.3 Payment Processing: All payments processed securely via Stripe or another nominated processor. You authorise us and our processor to charge all fees and agree to provide accurate billing information.

3.4 VAT & Taxes: Fees are exclusive of VAT and other taxes unless stated.

3.5 Non-Payment: Unpaid fees may result in suspension or termination of your Account.

3.6 Refunds: Fees are non-refundable except where required by law.

4. Service Availability & Disclaimer

4.1 Availability: We aim to maintain access but do not guarantee uninterrupted or error-free service. Temporary suspensions may occur for maintenance, repair, or reasons beyond our control.

4.2 As-Is: The App is provided "as is" and "as available." We exclude all implied warranties to the fullest extent permitted by law.

4.3 Third-Party Services: We are not responsible for acts, omissions, or failures of third-party services (including Stripe).

5. Limitation of Liability

5.1 Exclusions: Liability cannot be excluded for death or personal injury due to negligence, fraud, or other statutory obligations.

5.2 Cap: Subject to 5.1, our total liability is limited to the total fees you paid in the 12 months before the claim.

5.3 Excluded Losses: We are not liable for loss of profits, contracts, savings, goodwill, data, or indirect/consequential losses.

5.4 Document Uploads Disclaimer: KodedNest Ltd shall not be liable for any loss, damage, or dispute arising from user-submitted documents, including but not limited to credentials, proofs, or identity documents, whether verified or not.

6. Acceptable Use

6.1 Use the App only for lawful business or professional purposes.

6.2 Prohibited Activities: You must not:

• Breach laws or regulations.
• Post unlawful, offensive, or infringing content.
• Impersonate others.
• Access other accounts without permission.
• Upload viruses or harmful code.
• Attempt unauthorized access or disruption.
• Reverse engineer or copy the App.
• Scrape data without consent.
• Resell or sublicense without consent.
• Send unsolicited marketing.
• Infringe intellectual property rights.
• Interfere with App functionality.

6.3 We may monitor usage and suspend/remove content for breaches.

7. Indemnity

You agree to indemnify KodedNest Ltd and affiliates against claims, losses, costs, or damages arising from:

• Your use of the App.
• Content or data you upload.
• Breach of Terms.
• Violation of laws.
• Claims of intellectual property infringement.

We may assume the defence of any claim, and you will cooperate as needed.

8. Intellectual Property

8.1 Ownership: All App IP remains KodedNest Ltd's property or its licensors.

8.2 Licence: You have a limited, non-exclusive, non-transferable licence to use the App internally.

8.3 Restrictions: You must not copy, modify, reverse engineer, remove notices, or develop competing products.

8.4 Customer Data: You retain ownership; you grant us a licence to host, use, and display it to provide and improve the Services.

8.5 Feedback: Feedback may be used by us without restriction or obligation.

9. Data Protection & Privacy

9.1 Details of data collection, use, and rights are in our Privacy Policy.

9.2 We may act as controller or processor depending on context.

9.3 Security measures are implemented to protect personal data.

9.4 By using the App, you agree to comply with all applicable data protection laws.

10. Termination & Suspension

10.1 By Us: We may suspend or terminate Accounts immediately for breaches or misuse.

10.2 By You: You may terminate your Account at any time; fees incurred remain payable.

10.3 Effect: Access ceases immediately; data may be deleted; survival clauses continue.

11. Governing Law & Jurisdiction

11.1 Governing Law: These Terms are governed by the laws of England & Wales, Scotland, and Northern Ireland.

11.2 Jurisdiction: Courts in these jurisdictions have non-exclusive jurisdiction.

12. Miscellaneous

12.1 Entire Agreement: These Terms and incorporated documents (including Privacy Policy) form the full agreement.

12.2 Assignment: You may not assign rights; we may assign freely.

12.3 Force Majeure: Not liable for events beyond reasonable control.

12.4 Severability: Invalid provisions do not affect the rest.

12.5 Variation: Terms may be updated; continued use constitutes acceptance.
