What NetworkDental is
NetworkDental is a technology marketplace platform. Dental practices post vacancies and pay a listing fee. Dental nurses browse and apply directly. NetworkDental verifies submitted documentation and, where applicable, facilitates payment between the parties through Stripe. NetworkDental is not party to any engagement between a dental practice and a dental nurse, and does not employ either party.
Welcome to NetworkDental ("the Platform"), operated by KodedNest Ltd, a company incorporated in England and Wales with company number 16563013, whose registered office is at 128 City Road, London, United Kingdom, EC1V 2NX ("KodedNest", "we", "us", or "our").
By accessing or using the Platform, you ("you", "your", or "the User") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Platform. These Terms constitute a legally binding contract between you and KodedNest Ltd.

1. Definitions
In these Terms, the following words have the meanings given below:
- "Platform" means the NetworkDental software application, website (networkdental.uk), and all related services provided by KodedNest Ltd.
- "KodedNest / We / Us" means KodedNest Ltd (company number 16563013), the legal entity operating the Platform.
- "User / You" means any individual or organisation that registers for or accesses the Platform.
- "Dental Nurse" means an individual registered with the General Dental Council (GDC) who uses the Platform to find locum or direct engagement opportunities.
- "Practice" means a dental practice, clinic, or organisation registered in the United Kingdom that uses the Platform to post vacancies and find dental nurse cover.
- "Engagement" means any work arrangement, shift, or professional engagement entered into directly and exclusively between a Dental Nurse and a Practice. KodedNest Ltd is not a party to any Engagement.
- "Profile Data" means information, documents, and credentials uploaded by a User to the Platform.
- "Listing Fee" means the fee charged to a Practice for each vacancy posted on the Platform.
- "Services" means the features and tools available through the Platform, including vacancy listing, nurse discovery, document verification, and payment facilitation.
- "Stripe" means Stripe Payments Europe, Ltd, an authorised payment institution regulated by the Central Bank of Ireland and passported into the United Kingdom.
- "Consumer"has the meaning given by section 2 of the Consumer Rights Act 2015 - an individual acting wholly or mainly outside the individual's trade, business, craft, or profession.
- "Business User" means a User acting in the course of a business, craft, or profession.
2. Nature of the Platform
2.1 Marketplace platform: KodedNest Ltd provides a technology marketplace. Practices pay to list vacancies on the Platform. Dental Nurses browse those listings and choose to apply or express interest. Where both parties agree, they enter into an Engagement directly with each other.
2.2 Not an employment agency or employment business: KodedNest Ltd operates as a marketplace/job-listing platform. We do not act as a traditional employment agency by actively introducing specific Dental Nurses to specific Practices or negotiating the terms of any Engagement on behalf of either party. All Engagements are negotiated and formed directly between the Practice and the Dental Nurse without KodedNest Ltd being party to, directing, or controlling those negotiations.
2.3 No employment relationship: KodedNest Ltd does not employ, engage as a worker, or enter into any contractor relationship with any Dental Nurse or Practice. We are not an employer, co-employer, staffing intermediary, or labour provider.
2.4 Payment facilitation only: Where KodedNest Ltd facilitates payment between a Practice and a Dental Nurse, it does so solely as a marketplace operator instructing Stripe (as the regulated authorised payment institution) to transfer funds. KodedNest Ltd does not itself hold, receive, or transmit payment funds - all such activity is performed by Stripe under its own FCA authorisation.
2.5 Employment status: The employment status of any Engagement (whether as employee, worker, or independent contractor) is a matter solely between the Practice and the Dental Nurse. Each party is responsible for its own tax obligations, National Insurance contributions, and IR35 assessments in connection with any Engagement. KodedNest Ltd accepts no responsibility for employment status determinations.
2.6 Regulatory compliance commitment: In the event that any activity of KodedNest Ltd is determined by a court or competent authority to bring it within the scope of the Employment Agencies Act 1973 or the Conduct of Employment Agencies and Employment Businesses Regulations 2003 (SI 2003/3319), KodedNest Ltd will take all steps necessary to comply with applicable requirements.
3. Eligibility and Registration
3.1 You must be at least 18 years of age and have full legal capacity to enter into these Terms. By registering, you confirm that these requirements are met.
3.2 Dental Nurses must, throughout their use of the Platform:
- Hold a current, active registration with the General Dental Council (GDC) and be free from any conditions, undertakings, or suspension that would prevent practice as a dental nurse.
- Hold professional indemnity insurance appropriate to locum or freelance dental nursing, covering all work conducted via the Platform.
- Hold a current Disclosure and Barring Service (DBS) certificate at the level required for patient-facing dental settings (Enhanced, with Barring Lists).
- Have the legal right to work in the United Kingdom for the duration of any Engagement.
- Comply at all times with GDC standards of conduct, performance, and ethics, and all applicable CPD requirements.
3.3 Practices must, throughout their use of the Platform:
- Be lawfully constituted and authorised to operate as a dental practice in the United Kingdom.
- Hold current registration with the Care Quality Commission (CQC) (in England), Healthcare Improvement Scotland, Healthcare Inspectorate Wales, or the Regulation and Quality Improvement Authority (as applicable).
- Have authority to enter into engagements with dental nursing staff.
3.4 You must provide accurate, complete, and up-to-date information at all times. You must notify us promptly if any eligibility requirement ceases to be met (for example, if GDC registration lapses or indemnity insurance expires).
3.5 We reserve the right to suspend or terminate access where any eligibility requirement is not or ceases to be satisfied.
4. Document Submission and Verification
4.1 Dental Nurses are required to submit specified documents as part of the registration process, including proof of identity, proof of address, GDC registration, professional qualifications, DBS certificate information, and professional indemnity insurance details. These documents are reviewed by KodedNest Ltd or authorised representatives for the purposes of basic verification.
4.2 Nature and limits of verification: Our document review is a basic authenticity check conducted by the Platform and does not constitute:
- A full background check or enhanced DBS check.
- Verification of the currency, validity, or legal effect of any document.
- Legal due diligence or professional vetting services.
- A confirmation that any Dental Nurse is suitable, fit, or safe for patient-facing work.
4.3 Practices' own due diligence obligation: Regardless of any verification conducted by KodedNest Ltd, each Practice remains solely and independently responsible for conducting all checks required by law and good practice before commencing any Engagement, including:
- Verifying active GDC registration directly via the GDC online register at gdc-uk.org.
- Conducting a right to work check in accordance with current Home Office guidance (Immigration, Asylum and Nationality Act 2006). The civil penalty for employing an individual without the right to work is currently up to £60,000 per worker. This responsibility cannot be delegated to NetworkDental.
- Obtaining and reviewing a current DBS certificate at the appropriate level for the role.
- Verifying that the Dental Nurse holds adequate and current professional indemnity insurance.
- Satisfying any other obligations arising from CQC registration or applicable clinical governance frameworks.
4.4 Disclaimer for reliance on documents: KodedNest Ltd shall not be liable for any loss, liability, damage, claim, or expense arising from: (a) any reliance by a Practice on any document, credential, or information submitted by a Dental Nurse; (b) any failure by a Dental Nurse to hold valid GDC registration, current DBS certification, or appropriate insurance; or (c) any act, omission, or default of a Dental Nurse in the course of an Engagement.
4.5 User warranty: By submitting any document to the Platform, you warrant that the document is genuine, current, accurate, and not misleading, and that you are legally entitled to submit it. Submitting a false, fraudulent, or misleading document is a material breach of these Terms and may constitute a criminal offence under the Fraud Act 2006 or other applicable legislation.
5. Dental Nurse Obligations
5.1 GDC registration: You must immediately notify KodedNest Ltd and any Practice with whom you have an active or pending Engagement if your GDC registration is suspended, made subject to conditions, or otherwise altered in any way that affects your ability to practise.
5.2 DBS: You are responsible for maintaining a current DBS certificate at the Enhanced level with Barring Lists for all patient-facing dental nursing activity. You must not use the Platform to obtain or continue any Engagement where your DBS disclosure contains information that would make you unsuitable for patient-facing work. If your DBS status changes adversely, you must notify KodedNest Ltd immediately.
5.3 Professional indemnity: You must hold professional indemnity insurance throughout the duration of any Engagement. You must disclose any gaps in cover. KodedNest Ltd accepts no liability for any claim arising from uninsured practice.
5.4 Right to work: You warrant that you have and will maintain throughout any Engagement the legal right to work in the United Kingdom for the nature of work concerned. You acknowledge that the Practice, not KodedNest Ltd, is responsible for the right to work check.
5.5 Tax and IR35: You are solely responsible for your own tax affairs, including self-assessment, VAT registration (where applicable), IR35 employment status determinations, and National Insurance contributions in respect of income earned through Engagements.
6. Practice Obligations
6.1 Right to work:You have an independent legal obligation to conduct a right to work check on each Dental Nurse before commencing any Engagement, in accordance with the Immigration, Asylum and Nationality Act 2006 and current Home Office guidance. You may not rely on KodedNest Ltd's document verification as satisfaction of this obligation. The statutory civil penalty of up to £60,000 per worker applies to you as the engaging party.
6.2 DBS: Subject to your CQC obligations and clinical governance requirements, you are responsible for obtaining and reviewing a current DBS certificate for each Dental Nurse you engage. You must not engage any Dental Nurse whose DBS disclosure reveals information that renders them unsuitable for patient-facing work.
6.3 GDC verification: You must independently verify active GDC registration of any Dental Nurse before any Engagement commences, by checking the GDC online register. You may not rely solely on information provided through the Platform.
6.4 Engagement obligations: You are responsible for all legal obligations applicable to the nature of the Engagement with a Dental Nurse, including (as applicable) compliance with the National Minimum Wage Act 1998, Working Time Regulations 1998, Equality Act 2010, and Health and Safety at Work etc Act 1974.
6.5 Insurance:You must maintain appropriate employers' liability insurance and public liability insurance covering your activities including any Engagements arranged through the Platform.
7. Fees, Payments, and Consumer Rights
7.1 Dental Nurse fees: Registration and basic use of the Platform is free for Dental Nurses. Optional premium features may be made available at fees clearly displayed before purchase.
7.2 Practice listing fees: Practices pay a Listing Fee per vacancy posted. The applicable fee (inclusive or exclusive of VAT as stated) is displayed clearly before purchase. Prices may change and we will give reasonable notice of any change.
7.3 Payment processing by Stripe: All payments on the Platform - including Listing Fees payable by Practices and payments from Practices to Dental Nurses - are processed by Stripe Payments Europe, Ltd, an authorised payment institution. KodedNest Ltd does not hold, receive, or transmit funds directly and is not itself authorised or registered under the Payment Services Regulations 2017 (SI 2017/752) as a payment institution. By submitting a payment, you enter into a payment services agreement with Stripe subject to Stripe's terms of service. You must provide accurate billing information.
7.4 Nurse payment:Where the Platform facilitates payment to a Dental Nurse upon completion of an Engagement, KodedNest Ltd instructs Stripe to transfer the agreed sum from the Practice's payment to the Dental Nurse's nominated account, less any applicable platform fee. The timing and terms of such payment are set out in the relevant Engagement and platform fee schedule displayed at the time of booking.
7.5 VAT: Listing Fees are subject to UK VAT at the prevailing rate unless stated otherwise. You are responsible for any other taxes arising from Engagements.
7.6 Consumer right to cancel (Dental Nurses only - where a fee is charged): If you are a Dental Nurse acting as a Consumer and you purchase any paid feature on the Platform, you have the right to cancel within 14 calendar days of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (SI 2013/3134). To exercise this right, contact us at kodednest@gmail.com within the 14-day period. If you request that services begin immediately during the cancellation period and you expressly acknowledge waiver of your cancellation right, the right to cancel will be lost once the service has been fully performed. If you cancel before full performance, we may charge a proportionate amount for services already provided.
7.7 Business Users - no right to cancel: The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply to Business Users. Listing Fees paid by Practices are non-refundable unless the Platform has materially failed to provide the advertised service.
7.8 Non-payment: Unpaid fees may result in suspension or removal of your account and any active vacancy listings.
8. Service Availability
8.1 We aim to maintain access to the Platform but do not guarantee uninterrupted, error-free, or secure operation. The Platform is provided "as available".
8.2 For Business Users only: we exclude all implied warranties, representations, and conditions relating to the Platform to the fullest extent permitted by law. For Consumers, our Services will be performed with reasonable care and skill as required by section 49 of the Consumer Rights Act 2015, and within a reasonable time as required by section 52 of that Act.
8.3 We are not responsible for the acts, omissions, or unavailability of third-party services including Stripe, Mailchimp, or Vercel.
8.4 We reserve the right to modify, suspend, or discontinue any part of the Platform. Where possible we will give reasonable advance notice of material changes.
9. Limitation of Liability
9.1 Non-excludable liability: Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot lawfully be excluded or limited, including under the Consumer Rights Act 2015.
9.2 Liability cap - Business Users: Subject to clause 9.1, our total aggregate liability to a Business User under or in connection with these Terms (whether in contract, tort, negligence, statutory duty, or otherwise) shall not exceed the greater of: (a) the total fees the Business User paid to KodedNest Ltd in the 12 months immediately preceding the event giving rise to the claim; or (b) £500.
9.3 Liability - Consumers: If you are a Consumer, our liability is not limited by clause 9.2. We limit or exclude our liability for: (a) indirect or consequential losses that neither party could have anticipated when these Terms were formed; (b) business losses (loss of profit, loss of revenue, business interruption) that arise from services provided to you other than in the course of a business. We do not limit liability for direct losses suffered as a Consumer arising from our breach of these Terms or from our negligence.
9.4 Excluded losses - Business Users only: Subject to clause 9.1, we shall not be liable to Business Users for: loss of profits; loss of revenue; loss of business or contracts; loss of anticipated savings; loss of goodwill; loss of data; wasted management time; or any indirect, special, consequential, or punitive loss, even if we were advised of the possibility of such loss.
9.5 Platform as intermediary: We are not liable for the conduct, acts, omissions, or defaults of any Dental Nurse or Practice. We do not warrant the quality, safety, suitability, legality, or fitness for purpose of any Dental Nurse or their services, or of any vacancy or Practice.
9.6 Clinical matters: We accept no liability for: any clinical incident or patient safety event arising from or connected with an Engagement; any regulatory action by the GDC, CQC, or other body in connection with an Engagement; any dispute between a Dental Nurse and a Practice regarding the terms, performance, or outcome of an Engagement.
10. Indemnity
10.1 Business Users:Each Business User agrees to indemnify and hold harmless KodedNest Ltd and its officers, directors, employees, and agents against all third-party claims, liabilities, losses, costs (including reasonable legal fees), and expenses arising from or in connection with: (a) that Business User's use of the Platform; (b) any Profile Data or document submitted by that Business User; (c) any Engagement entered into by that Business User; (d) breach of these Terms; or (e) violation of any applicable law or third-party right.
10.2 Consumers:If you are a Consumer, you agree to compensate KodedNest Ltd for any third-party claim, loss, or expense directly caused by your fraudulent, unlawful, or grossly negligent conduct on the Platform or any deliberate submission of false documents. This clause does not require you to indemnify KodedNest Ltd for losses arising from KodedNest Ltd's own acts, omissions, or negligence, nor for losses arising from the use of the Platform in accordance with these Terms.
11. Acceptable Use
11.1 You must use the Platform only for lawful purposes and in accordance with these Terms.
11.2 You must not:
- Submit false, misleading, or fraudulent information or documents.
- Impersonate any person or misrepresent your professional qualifications or registration status.
- Use the Platform if your GDC registration is lapsed, suspended, or subject to conditions preventing practice.
- Circumvent Platform fees by taking connections off-platform to avoid applicable charges, having made initial contact through the Platform.
- Post or transmit unlawful, offensive, defamatory, or infringing content.
- Upload viruses, malware, or malicious code.
- Attempt to gain unauthorised access to any part of the Platform or another user's account.
- Scrape, harvest, or systematically copy data from the Platform without written consent.
- Reverse engineer, decompile, or attempt to extract the source code of the Platform.
- Send unsolicited commercial communications to other Users.
- Use the Platform in any way that infringes the intellectual property rights of KodedNest Ltd or any third party.
11.3 We may monitor usage, remove content, and suspend or terminate accounts for breaches of this clause without prior notice.
12. Intellectual Property
12.1 All intellectual property rights in the Platform, including software, design, content, and trademarks, are owned by or licensed to KodedNest Ltd. Nothing in these Terms transfers any such rights to you.
12.2 We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for the purpose for which it is provided (as a Dental Nurse or a Practice seeking to use the Services). This licence is personal to you and may not be sublicensed.
12.3 You retain ownership of your Profile Data. By submitting Profile Data, you grant us a non-exclusive, royalty-free licence to host, store, and process it to provide and operate the Services.
13. Data Protection and Privacy
13.1 KodedNest Ltd processes personal data in accordance with our Privacy Policy, which forms part of these Terms and is incorporated by reference.
13.2 We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018 (DPA 2018), and the Data (Use and Access) Act 2026.
13.3 Each Party shall independently comply with all applicable data protection laws in connection with their use of the Platform.
13.4 Where a Practice receives personal data about a Dental Nurse through the Platform, the Practice becomes an independent data controller of that data and must process it in compliance with UK data protection law, including maintaining its own lawful basis for processing and complying with data subject rights requests independently of KodedNest Ltd.
14. Termination and Suspension
14.1 Termination by us: We may suspend or terminate your access to the Platform immediately and without notice where: you have materially breached these Terms; you have provided false or fraudulent information; your GDC registration lapses (Dental Nurses); continued access poses a risk to other Users or to patient safety; or we are required to do so by law.
14.2 Termination by you: You may close your account at any time by contacting us at kodednest@gmail.com. Any fees incurred prior to termination remain payable and are not refunded except as required by law.
14.3 Effect of termination: On termination, your right to access the Platform ceases immediately. Clauses that by their nature survive termination (including clauses 4, 9, 10, 12, and 15) remain in force. Your data will be handled in accordance with our Privacy Policy.
15. Governing Law, Jurisdiction, and Complaints
15.1 These Terms and any dispute arising from them are governed by the laws of England and Wales.
15.2 Business Users: Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15.3 Consumers: Nothing in these Terms prevents a Consumer from bringing proceedings in the courts of the jurisdiction in which they are domiciled.
15.4 Complaints procedure: If you have a complaint about our Services, please contact us at kodednest@gmail.com. We will acknowledge your complaint within 5 business days and aim to resolve it within 28 calendar days. If you are a Consumer and remain dissatisfied after our complaints process is exhausted, alternative dispute resolution (ADR) may be available. Details of certified ADR providers are available from the Chartered Trading Standards Institute.
16. General
16.1 Entire agreement: These Terms together with our Privacy Policy constitute the entire agreement between you and KodedNest Ltd regarding the Platform and supersede all prior representations, agreements, and understandings.
16.2 Assignment: You may not assign any rights or obligations under these Terms without our prior written consent. We may assign our rights, including upon a sale or restructuring of the business, provided we give you reasonable notice.
16.3 Force majeure: We are not liable for failure to perform our obligations where caused by events beyond our reasonable control, including acts of God, pandemic, civil unrest, cyber-attacks, regulatory action, or infrastructure failure of third-party providers.
16.4 Severability: If any provision of these Terms is held to be invalid or unenforceable, it shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
16.5 Waiver: Failure to enforce any right under these Terms shall not constitute a waiver of that right.
16.6 Variation: We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the Platform at least 14 days before the changes take effect. Continued use after the effective date of any update constitutes acceptance. If you do not accept any change, you must stop using the Platform and close your account.
16.7 No partnership: Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and KodedNest Ltd.
16.8 Notices: Notices from you to KodedNest Ltd must be sent by email to kodednest@gmail.com or in writing to our registered office. Notices from us to you will be sent to the email address registered on your account.
16.9 Consumer statutory rights: If you are a Consumer, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015, Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or any other applicable consumer protection legislation. Your statutory rights are not subject to limitation or exclusion by these Terms.
16.10 Third party rights: These Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 that any third party may enforce.

Under the Privacy and Electronic Communications Regulations 2003 (PECR), we must tell you what cookies we use and obtain your consent for non-essential cookies.
- Strictly necessary cookies - required for the website to function. They store your form submission status and display preferences. No consent is required for these cookies under PECR because they are essential to the service you have requested.
- Analytics (Vercel Analytics) - Vercel Analytics uses a privacy-preserving approach that does not set persistent tracking cookies and does not identify individual users across sessions. It aggregates page view data only. We use these analytics on the basis of our legitimate interest in improving the Platform. Where any persistent measurement occurs, we will seek your prior consent.
We do not use advertising, behavioural profiling, retargeting, or third-party social media cookies.
